SERVICE PROCUREMENT POLICIES

In this section, you can consult Xelente's service contracting policies.

It's important to note that not all policies apply to all services, as each has its own specific conditions, scope, and guidelines.

Therefore, we recommend that you carefully read the policies corresponding to the service you are interested in, in order to better understand how we work, avoid confusion, and ensure a clear and transparent relationship from the outset.

PAYMENT METHOD AND ESTABLISHED AGREEMENTS

If payment is not received within the given timeframe, Xelente reserves the right to temporarily suspend services until payment is received. Once payment is received, services will be reactivated within a maximum of 24 business hours.
If, during the project, additional requests arise that entail increased workload or significant changes, Xelente will provide a cost estimate that must be approved by the Client before proceeding with the new requirements.
Xelente will be responsible for all payments associated with the development and improvement of the website when it is created from scratch under its management. This includes payments related to web hosting, the 256-bit SSL certificate, the domain name, and platform usage licenses.
During the term of this agreement, if the Client decides to cancel the service, all payments will be the Client's responsibility.
However, if the Client already has a pre-developed website and Xelente is only responsible for its management and maintenance, the Client will be responsible for payments related to the use of the platform and all external services necessary for the website's operation. This includes, but is not limited to, payments associated with web hosting, the SSL certificate, the domain name, platform maintenance, email accounts associated with the domain, backup and security services, and any other external services related to the website's operation and maintenance.

Change of plan by the Client:

Upgrade to a Higher-Cost Plan

The Customer may request a change to a higher-cost plan at any time, which can be done under any of the following modalities:

a) Change at the end of the previously paid period:
If the change is requested during a paid period, the new plan will be activated at the end of that period. The Customer must then pay the corresponding amount for the new plan to continue service.
b) Immediate change:
If the Customer wishes to change immediately, they must pay the proportional difference between the current plan and the new plan requested. Once payment is made, the change will be applied immediately.

In both cases, the new plan will be considered the current plan for future renewals and price updates. To formalize any plan changes or upgrades, both parties must sign a service upgrade agreement.

Upgrade to a Lower-Cost Plan

The Client acknowledges that the preferential rate granted for website development is conditional upon the contracting and full payment of the originally contracted plan for a minimum period of 12 (twelve) months.

Consequently, it will not be possible to request or apply a change to a lower-cost plan until the amount corresponding to said minimum period has been paid in full, according to the plan initially contracted.

Once the mandatory 12-month period has been completed and paid in full, the Client may request a change to a lower-cost plan, provided they notify Xelente at least one (1) month in advance. This change will not generate additional charges for service modification and will be subject to the availability and conditions of the new plan selected.

Service Cancellation

The Client acknowledges that the preferential rate granted for website development is conditional upon the contracting and full payment of the maintenance service for a minimum period of 12 (twelve) months.

Should the Client request cancellation of the service before the minimum period has elapsed, they must immediately cover:

a) The total cost of website development, less any amount previously paid for this service; and

b) The amount corresponding to the remaining months of the Xelente Life plan maintenance service, up to the 12 months contracted.

Failure to make this payment will entitle the Company to suspend access to and use of the website, as well as any associated services, without any obligation to transfer ownership, access, or rights to the project to the Client.

Once the Client has paid all the aforementioned amounts and the contractual conditions have been met, the provisions of the website ownership and transfer clauses will apply.

XELENTE'S COMMITMENTS TO ITS WEB CREATOR CLIENTS

Xelente commits to performing the agreed-upon services within the timeframes established in the work plan. Should any delays arise, Xelente will immediately inform the Client and propose new, reasonable delivery dates.
Xelente will provide regular updates on the project status, according to the agreed-upon schedule.
Xelente will take all necessary measures to protect the sensitive and confidential information provided by the Client, including implementing privacy policies and using secure data handling tools.
Xelente will not share the Client's information with third parties without their express consent, except when required by law.
Xelente will manage access credentials (such as passwords and sensitive data) in a strictly confidential and secure manner, using cybersecurity best practices.
Any changes to the budget or delivery schedule will be discussed and approved by both parties in advance.
Xelente commits that, for customers with a current, existing contract, any increase in the cost of contracted services will not exceed 50% (fifty percent) per year, calculated cumulatively on the last applicable amount. This means that the authorized increase may be applied annually, based on the updated price of the immediately preceding period, always respecting the maximum limit of 50% for each annual renewal.
Xelente may freely modify its general rates for new customers or contracts entered into subsequently, without such updates affecting the amounts agreed upon with customers who have a current, existing contract.

WEB CREATOR CLIENT COMMITMENTS WITH XELENTE

The Client agrees to provide all relevant information and documents for the project's development, such as texts, images, logos, account access, and any other materials necessary for the execution of the services.
The Client agrees to make payments according to the terms agreed upon in the contract, respecting the established payment deadlines. In the event of payment default, Xelente may suspend or interrupt the provision of services until the situation is resolved.
The Client agrees to clearly and promptly inform Xelente of any changes to the project, new requirements, or adjustments they wish to make during the development of the services.
Xelente will have a pre-agreed timeframe to make any modifications requested by the Client. In urgent situations, the Client must notify Xelente at least 24 hours in advance so that the Company can prioritize the change or propose a solution that meets the time requirement.
The Client must ensure that all decisions and approvals are clear and submitted within the established deadlines.
The Client must provide the necessary credentials (such as website access, social media accounts, content management tools, etc.) so that Xelente can perform the services effectively and securely. The Client agrees to ensure that these credentials remain secure and to notify Xelente of any changes or updates.
The Client agrees to review and approve all content developed by Xelente (such as text, images, graphics, etc.) before its final implementation. If the Client does not approve the content, they must communicate the reasons in detail and the adjustments necessary to continue with the project.
The Client agrees to keep the services under their management active, such as hosting, domains, plugin licenses, and others. Otherwise, Xelente will not be able to continue with the development, maintenance, or implementation of the website until these services are active.
